Based in Luxembourg, you will join an international and multicultural Fund Law team, working alongside experienced legal professionals across multiple locations. As a trusted legal partner to the business, you will provide pragmatic legal solutions that enable business opportunities while ensuring compliance with Luxembourg and European regulatory requirements.
This role has a primary focus on the legal aspects of a UCITS Management Company and AIFM, including governance, outsourcing arrangements, regulatory compliance and corporate legal matters. You will also support investment fund-related activities, including fund documentation and product development.
Key Responsibilities:
- Lead, coordinate and support legal and regulatory projects and strategic initiatives, with a primary focus on Management Company and AIFM legal matters.
- Advise the business on governance, corporate legal matters, outsourcing frameworks and other Management Company-related regulatory requirements.
- Draft, review and negotiate a broad range of legal documentation, including outsourcing agreements, service agreements, prospectuses, board resolutions and other corporate legal documents.
- Provide practical legal advice on Luxembourg and European regulatory requirements applicable to Management Companies, AIFMs and investment funds.
- Coordinate and manage regulatory filings and interactions with the CSSF and other competent authorities where required.
- Partner closely with Governance, Compliance, Risk, Product Development and other business functions, as well as external legal advisers.
- Support investment fund-related matters, including fund documentation, product launches, cross-border distribution and ongoing legal maintenance.
- Drive continuous improvements to legal processes, governance frameworks and documentation standards.
- Build trusted relationships with stakeholders by providing proactive legal guidance and helping identify legal and regulatory implications of business initiatives.
Profil recherché
- Master's degree in Law or an equivalent legal qualification.
- 10+ years of post-qualification experience within the asset management industry, a leading law firm or a consulting environment.
- Strong experience within the Luxembourg investment funds industry, including extensive exposure to Management Company and/or AIFM legal matters.
- In-depth knowledge of the Luxembourg legal and regulatory framework applicable to UCITS Management Companies, AIFMs and investment funds.
- Demonstrated experience advising on governance, outsourcing arrangements and regulatory requirements applicable to Luxembourg Management Companies.
- Proven track record of interacting with the CSSF on Management Company and fund-related matters.
- Strong commercial judgement with the ability to translate complex legal and regulatory requirements into practical business solutions.
- Excellent stakeholder management and communication skills, with experience collaborating across international and cross-functional teams.
- Proactive, solution-oriented and comfortable working in a dynamic environment with evolving regulatory requirements.
- Ability to work independently while contributing effectively within a collaborative international team.
- Excellent written and verbal communication skills in English. French and/or German would be considered a strong advantage.
