We are seeking an experienced Head of Governance with a strong background in governance, risk oversight and regulatory affairs to play a pivotal role in strengthening the governance framework of a regulated financial institution.
As a trusted advisor to Authorized Management and the Board of Directors, you will ensure that the organization maintains a robust and effective governance framework supporting regulatory compliance, sound risk management, and the successful execution of strategic objectives.
You will coordinate governance activities across the organization, foster effective collaboration between management and control functions, drive accountability, and ensure that key decisions are translated into measurable actions and tangible outcomes.
This is a high-impact leadership role offering the opportunity to influence the organization's long-term success through a combination of governance excellence, strategic execution, risk oversight, and regulatory leadership.
Key Responsibilities:
- Develop and maintain an effective governance framework aligned with regulatory expectations and organizational objectives.
- Oversee the local risk management function, including ICT and operational risks, and act as a key interface with the relevant supervisory authorities.
- Provide guidance and oversight to the local compliance function and act as a key interface with the relevant supervisory authorities.
- Establish and maintain efficient governance processes, ensuring effective alignment between Authorized Management and control functions.
- Coordinate cross-functional action plans arising from:
- Strategic priorities;
- Board and management decisions;
- Regulatory reviews and inspections;
- Compliance and risk recommendations;
- Internal and external audit findings.
- Coordinate selected internal and external audit engagements and ensure appropriate follow-up.
- Implement appropriate reporting mechanisms, KPIs, dashboards, and action plans to monitor key objectives and initiatives.
- Ensure that ESG considerations are appropriately integrated into governance, risk management, strategy execution, and regulatory reporting.
- Promote a strong culture of accountability, transparency, sound judgement, and continuous improvement.
The position reports directly to the CEO and involves approximately 25–30% travel, particularly in connection with Group interactions and international activities.
Profil recherché
- Master's degree in Law, Corporate Governance, Business Administration, Finance, Economics, or a related discipline.
- Professional qualification in corporate governance or a related field is advantageous.
- 10+ years of relevant experience in a senior governance, risk, compliance, internal control, or comparable position within a regulated environment.
- Strong understanding of financial services regulation and corporate governance principles.
- Demonstrated experience working with regulators, Boards, Authorized Management, senior executives, and control functions.
- Experience in second-line control functions, particularly risk management, compliance, or internal control, is highly desirable.
- Ability to assess risks against the organization's risk appetite, internal policies, and regulatory requirements.
- Strong understanding of governance frameworks, policies, procedures, and regulatory principles.
- Ability to translate strategic priorities and regulatory requirements into practical action plans.
- Strong analytical and problem-solving capabilities.
- Ability to identify options, challenge constructively, and propose pragmatic solutions.
- Strong project and action-plan management capabilities.
- Excellent reporting and stakeholder-management skills.
- Ability to operate independently and exercise sound professional judgement.
- Strong ethical standards and integrity.
- Fluency in English; additional languages are an advantage.
