We are recruiting, on behalf of our client, an internationally recognised tax and law firm, a Senior Lawyer to join its Corporate Law practice.

The team has strong expertise in private equity and mergers & acquisitions, advising clients on complex domestic and cross-border transactions. It supports businesses, investors, and private equity sponsors in identifying and seizing strategic opportunities while effectively managing legal risks, regulatory compliance requirements, transaction structures, governance considerations, and broader legal implications.

Key responsibilities will include, but are not limited to:

• Advising clients on a wide range of corporate matters, with a particular focus on private equity transactions, mergers and acquisitions, restructurings, and corporate reorganisations. 
• Assisting clients throughout the entire transaction lifecycle, including structuring, due diligence, negotiation, drafting, and execution. 
• Providing strategic advice on risk management, regulatory compliance, governance frameworks, transaction mechanisms, and legal structures to support clients' business objectives. 
• Collaborating closely with an international client base, including private equity sponsors, portfolio companies, corporates, and financial investors, as well as with local and foreign law firms on cross-border matters. 
• Supporting the development of the practice and mentoring junior team members where appropriate. 

• Admitted to practice law in Luxembourg or registered on List IV of the Luxembourg Bar. 
• Minimum 5 years' post-qualification experience in corporate law, with a strong focus on private equity and mergers & acquisitions, ideally gained within a top-tier law firm in Luxembourg. 
• Proven experience advising clients on complex domestic and cross-border transactions, including acquisitions, disposals, joint ventures, restructurings, and private equity investments. 
• Strong ability to analyse complex legal and commercial issues and provide pragmatic, business-oriented advice to clients. 
• Proactive, self-motivated, and able to take ownership of matters and drive transactions forward independently. 
• Excellent communication and interpersonal skills, with the ability to work effectively both as part of a team and in a leadership capacity. 
• Highly organised, adaptable, and capable of managing multiple transactions and deadlines simultaneously in a fast-paced environment. 
• Fluent in English and French, with excellent drafting and communication skills in both languages. Knowledge of Dutch, German, or Luxembourgish would be considered an asset.
